Terms Of Service

1. Definitions

• Affiliate: A person, business, or entity supplying Affiliate Services under this Agreement.
• Affiliate ID: An account assigned to the Affiliate in the Company’s tracking system.
• Affiliate Services: Marketing, promotion, and advertising activities performed by the Affiliate.
• Commission: Payments due to the Affiliate, based on Revenue Share, CPA, or Hybrid models.
• CPA Payment: One-off fixed fee for each new Player that meets qualifying conditions.
• Net Revenue: Wagers placed by referred Players less winnings, bonuses, chargebacks, refunds, voided bets, fraudulent activity, and agreed operational costs (e.g., taxes, payment fees, licensing, platform costs).
• Player: A new customer referred via an Affiliate’s tracking link who registers and makes a qualifying deposit, excluding existing or self-referred customers.
• Promotional Rights: License to advertise and promote Company brands under these Terms.
• Negative Balance: When deductions exceed revenue, resulting in a balance below zero.
• Positive Earnings: Net Revenue remaining after all deductions, forming the basis for commission.
• Revenue Share: A commission model where the Affiliate earns a percentage of Net Revenue.
• Sub-Affiliate: An Affiliate referred by another Affiliate, earning the parent Affiliate override commission (subject to approval).
• Prohibited Traffic: Unapproved methods including spam, fraud, incentivized sign-ups, bonus abuse, or promotion in restricted territories.
• Attribution (Last-Click Policy): Credit is assigned to the Affiliate whose tracking link was last clicked before the Player registered

• Promote Company brands responsibly and in line with applicable laws in African jurisdictions where gambling is regulated.
• Use only Company-approved creative materials.
• Ensure tracking links function correctly.
• Cover all costs of marketing activities.
• Keep details up-to-date and secure Affiliate IDs/passwords.
• Update offers within 5 business days of notification.
• Display '18+ ONLY' and 'Terms & Conditions Apply' on all promotions.

3. Affiliate Prohibitions

• Promote to individuals under 18 or in restricted territories.
• Engage in fraud, spam, or incentivized traffic.
• Register as a Player or allow employees to do so.
• Mislead customers or use coercive deposit tactics.
• Use intrusive or deceptive methods (forced pop-ups, spyware, etc.).
• Infringe on Company intellectual property.

4. Company Obligations

• Provide tracking tools, promotional materials, and affiliate support.
• Use reasonable efforts to maintain service uptime.
• Investigate fraud and may withhold commissions during investigations.
• Pay commissions within agreed timelines, subject to compliance checks.

5. Commission Models

• Revenue Share – Affiliates earn a % of Net Revenue from referred Players. Commission tiers may apply based on monthly performance.
• CPA (Cost Per Acquisition) – Affiliates earn a one-time fixed payment for each referred Player meeting qualifying conditions
• Hybrid Deals – The Company may agree to a combination of CPA and Revenue Share.

6. Negative Balance & Carryover Policy

• Negative balances carry forward to the next month until cleared by Positive Earnings.

7. Payment of Commissions

• Commissions are calculated monthly and paid within 30 days of month-end.
• Minimum payout threshold: 100 LRD (or equivalent local currency).
• Affiliates must provide accurate banking or e-wallet details.
• Compliance Hold – Payments may be delayed if AML, KYC, or regulatory checks are incomplete.

8. Tracking & Attribution

• Tracking is based on cookies (minimum 30-day duration).
• Last-click attribution applies.
• The Company is not responsible for Players not tracked due to third-party interference, ad blockers, or technical issues.

9. Sub-Affiliates

• Sub-Affiliates require prior written approval.
• Parent Affiliates may earn a 5% override commission.
• Affiliates are responsible for Sub-Affiliate compliance.

10. Prohibited Traffic & Fraud

• Fraudulent (fake accounts, self-referrals, collusion).
• Incentivized sign-ups or bonus abuse.
• Unapproved PPC or brand bidding campaigns.
• Spam, misleading ads, or restricted territories.

11. Responsible Gambling

• Affiliates must promote gambling responsibly.
• Include responsible gambling disclaimers in all creatives.
• Not target underage or vulnerable groups.

12. Termination

• Either party may terminate with 7 days’ notice.
• Immediate termination applies in cases of fraud, breach, or non-compliance.
• Upon termination, Affiliates must remove all promotional materials.

13. Governing Law & Jurisdiction

• This Agreement shall be governed by and construed in accordance with the laws of the country where the Affiliate is operating.
